SWEEPSTAKES OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN

1. Eligibility: The Snow Beverages LLC New York City “Dinner for Two” Sweepstakes ("Sweepstakes") is open only to legal residents of New York, New Jersey, Pennsylvania and Connecticut, who are 21 years or older at the time of entry. Employees, officers, directors and representatives of Snow Beverages LLC (the “Sponsor”) or ipsh!net Inc. and each of their respective parent companies, subsidiaries, affiliates, divisions, their advertising and promotion agencies and immediate family members (spouse and parents, siblings and children and their spouses) and persons living in the same households of each of the above are ineligible. Any person who has been selected as a prize winner and agreed to accept such prize in any sweepstakes or contest sponsored by Snow Beverages LLC during the six (6) month period immediately preceding the start date of this Sweepstakes is ineligible to win a prize in this Sweepstakes. Void outside New York, New Jersey, Pennsylvania and Connecticut and where prohibited by law. All federal, state and local laws apply.

2. How to enter. No purchase necessary to enter. A purchase will not improve your chances of winning. The Sweepstakes entry period begins at 12:01 AM Eastern Time (“E.T.”) on July 1, 2006 and ends at 5:00 PM E.T. on August 31, 2006. Sponsor's clock shall be the official timekeeper for this Sweepstakes. (1) To enter the Sweepstakes by mail, please submit name, address, telephone number and email address with a stamped, self-addressed envelope to NYC Dinner Contest, c/o Snow Beverages LLC, 928 Broadway, Suite 504, New York, NY 10010 OR (2) to enter by text messaging from your mobile phone, please send the keyword “NYCSnow” (case insensitive) by texting to 33992 and you will automatically be entered into the Snow Beverages New York City “Dinner for Two” Sweepstakes. Text messaging method of entry requires 2-way text messaging capable phone and digital service. Text messaging entrants will be charged for any text message that originates from or is received from their mobile phone in accordance to the terms in their calling plan. Text messaging is not available in all areas in the U.S. All entries must be received by 5:00 PM E.T. on August 31, 2006 to qualify for a prize. Proof of entry submission does not equate to proof of receipt. Limit one entry per person, regardless of method of entry. The potential winner who entered by text message may be required to show proof of being the authorized account holder. In case of dispute as to the identity of a text message entrant, entry will be declared made by the authorized account holder of the mobile telephone number. “Authorized Account Holder” is defined as the natural person who is assigned a mobile telephone number by the wireless carrier or as shown on the carrier’s records. In the event of a dispute as to any online entry, the authorized resident of the physical address used to enter will be deemed to be the entrant.

Entries that are late, illegible, incomplete, unreadable, damaged, destroyed, delayed, lost, tampered with, incomprehensible, forged, mutilated, misdirected, inaccurate, unintelligible or otherwise not in compliance with these Official Rules will be disqualified. All entries become the property of Sponsor and will not be acknowledged or returned. All requested information on the entry card or piece of paper must be completed in English to enter and be eligible. Proof of entering information on an entry card or of mailing or faxing such card is not considered proof of delivery to or receipt by Sponsor of such entry.

3. Prizes: Sixty (60) prizes available: Sixty (60) Prize Winners will receive each receive a dinner for two (2) (each of Prize Winner and guest must be 21 years of age or older) to one of the following two fine dining establishments, Lotus (located at 411 West 14th St., NY NY 10014) and Ludo (located at 42 East 1st St. NY NY 10001).  Winners will also receive two free bottles of Snow sparkling beverage with the dinner.  The prize is provided in the form of a coupon which is good for any food items or non-alcoholic beverages up to a value of $100 per dinner, exclusive of the two units of Snow sparkling beverage and any gratuities or tips that may be provided by the winners.  The coupon is good for one use only and any unused balance on each coupon will be forfeited.  Once notified of their prize as set forth below and which restaurant such prize may be redeemed at, winners must make reservations by calling such restaurant and be sure to mention that they will be using a "Snow Beverages Free Dinner Coupon."  Reservations will be booked only as available. Reservations MUST be booked no later than September 30, 2007 and all coupons MUST be redeemed no later than October 31, 2007.  All coupons expire on November 1, 2007.  If any coupons are not redeemed by October 31, 2007, the prize shall be deemed forfeited.  (ARV: $105). (TOTAL ARV OF ALL PRIZES: $6,300). No part of the prize includes beer, wine or ant other alcoholic beverages. No substitutions permitted except at the sole discretion of Sponsor.

All costs and expenses not expressly provided for in these Official Rules, including but not limited to ground transportation and parking, are not included and shall be the sole responsibility of each winner. All prizes are subject to availability. Limit one (1) prize per person or household. No transfer, substitution or cash equivalent of prize permitted by winners. Sponsor may substitute a prize of equal or greater retail value if a prize is unavailable or cannot be awarded for any reason. Each winner is solely responsible for the reporting and payment of any federal, state and/or local taxes on prizes. The value of the prize set forth above represents Sponsor's good faith determination of the ARV thereof, is final and binding and cannot be appealed.

4. Selection of Winners: Beginning on July 1st, 2006 at 12:01 AM EST, every fiftieth (50th) entry by text and every fiftieth (50th) entry by mail will be selected as one of the sixty possible winners until thirty (30 prizes have been awarded in July and thirty (30) prizes have been awarded in August. If, as of 5:00 PM EST on July 31, 2006, thirty (30) prizes have not been awarded, winners for each of the remaining available prizes will be drawn at random for all eligible entries (both text and mail entries), excluding any entries that have already been awarded a prize. Similarly, if, as of 5:00 PM EST on August 31, 2006, thirty (30) prizes have not been awarded, winners for each of the remaining available prizes will be drawn at random for all eligible entries, excluding any entries that have already been awarded a prize.  Odds of winning a prize depends on the sequence of entries received by text and regular mail unless the requisite number of prizes have not been awarded as of each of the dates set forth above, in which case odds of winning a prize depends on the total number of eligible entries received. Potential Prize Winners who entered by text will be notified by text message and potential Prize Winners who entered by mail will be notified by phone once they are selected. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. In Sponsor's sole discretion, a potential winner may be disqualified and required to forfeit a prize, and an alternate winner may be selected in accordance with these Official Rules from among the remaining eligible entries, if potential winner (i) is unreachable at time of winner notification; (ii) declines or cannot accept, receive or use the prize for any reason; or (iii) does not comply with these Official Rules. Forfeited prizes may not be awarded. Sponsor is not obligated to leave voice mail, answering machine or other message at time of winner notification. Selected winners will be sent (via facsimile, email or otherwise as determined by Sponsor) an affidavit of eligibility together with liability/publicity release for selected winner (“Affidavit and Release”). Selected winners must complete and return (via facsimile or other means as determined by Sponsor) the Affidavit and Release to Sponsor and be received by Sponsor BEFORE prize can be redeemed.  Affidavit and Releases must be received NO LATER than noon on October 1, 2006 or, in Sponsor's sole discretion, prize may be forfeited and an alternate winner may be selected in accordance with these Official Rules from among the remaining eligible entrants. Potential winners may be required to provide his/her US Social Security number for tax purposes as well as a valid government issued photo identification card. Sponsor reserves the right to modify the notification procedures in connection with the selection of alternate winners, if any.

5. General Conditions: By participating in this Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of the judges, which are final and binding in all respects and cannot be appealed. By entering, each entrant agrees and acknowledges that Sponsor and each of their respective parent companies, affiliates, divisions, subsidiaries and advertising and promotions agencies and each of their respective employees, officers, shareholders, directors, representatives, and agents (collectively, “Releasees”) are not responsible for and shall not be liable for: (i) late, lost, delayed, misdirected, postage due, mutilated, incomplete, unreadable, inaccurate, garbled or unintelligible entries; (ii) telephone system, facsimile, technical or computer malfunctions, lost connections, disconnections or transmission or other errors of any kind whether mechanical, human, electronic or otherwise; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses, costs, expenses or damages of any kind caused, in whole or part, directly or indirectly, by the prize or resulting from redemption, acceptance, possession, loss or use or misuse of any prize or from participating in the Sweepstakes or any Sweepstakes-related activity; or (v) any printing, typographical, administrative, human or technological errors in or involving any material associated with the Sweepstakes. Releasees have not made and/or are not responsible for any misrepresentation or guaranty, express or implied, in fact or in law, relative to the prizes. By accepting a prize, each winner agrees that Releasees and any of their designees may, without any limitation or further compensation, notice, review or approval, use his or her name, voice, biographical data and/or likeness in any and all media now known or hereinafter devised, throughout the universe and in perpetuity, for the purpose of advertising and promoting the Sweepstakes, the product entitled “SNOW” or any other promotion, contest or sweepstakes sponsored by Sponsor, except where prohibited by law. Sponsor disclaims any liability for damage to any computer system from participating in, or accessing or downloading information in connection with the Sweepstakes. By entering the Sweepstakes, entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event will attorneys' fees be awarded or recoverable; and (3) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby knowingly and expressly waives all rights to seek, punitive, incidental or consequential damages and/or any other damages, other than actual out-of-pocket expenses, and/or any and all rights to have damages multiplied or otherwise increased. Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend this Sweepstakes (or any portion of the Sweepstakes) should an error or a virus, bug, computer problem or other cause or problem corrupt or inhibit the administration, security or proper operation of the Sweepstakes and, in such situation, to select the winners from the eligible, non-suspect entries received prior to the action taken or in such manner as deemed fair and appropriate by Sponsor. Sponsor may prohibit participant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines participant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair practices or intending to annoy, abuse, threaten or harass any other participants or Sponsor's representatives. The interpretation of these Official Rules shall be governed by the laws of the United States and the State of New York by and within the courts of that state.

6. Release of Liability. Winner, by acceptance of a prize, agrees, at all times, to release, indemnify and hold harmless Sponsor and all other Releasees from and against any and all liability, claims or actions of any kind whatsoever for injuries, death, disability, attorneys' fees, costs of litigation and settlement as well as damages or losses to persons and property that may be sustained in connection with the receipt, ownership, redemption, use or misuse of a prize or while traveling to and/or from a location to obtain or use a prize.

Sponsor and all other Releasees shall not be liable to a winner or any other person for failure to supply the prize or any part thereof. Sponsor and all other Releasees are also not liable for any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor's sole control.
